Terms of Service

1. Acceptance of terms

By accessing or using the FTG Drop platform ("the Service"), operated by FTG Drop ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of service

FTG Drop is a product information management (PIM) platform that enables suppliers and distributors to:

• Manage product catalogues, specifications, and media
• Create and distribute pricelists with configurable pricing strategies
• Synchronise product listings, inventory, and orders with third-party sales channels (including Shopify and Amazon)
• Distribute product data to retailers via subscription-based access
• Integrate with ERP systems for stock and pricing synchronisation
• Expose product data via secure API feeds

3. Account registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Your data

You retain ownership of all data you upload, create, or manage through the Service ("Your Data"). By using the Service, you grant us a limited licence to store, process, and transmit Your Data solely for the purpose of providing and improving the Service.

You are responsible for:

• Ensuring that Your Data does not infringe the rights of any third party
• Maintaining backups of Your Data where appropriate
• The accuracy and legality of Your Data, including product information, pricing, and contact details

5. Acceptable use

You agree not to use the Service to:

• Upload or distribute malicious software, viruses, or harmful code
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Interfere with or disrupt the Service or servers connected to it
• Use the Service for any illegal purpose or in violation of any applicable law
• Transmit unsolicited marketing material or spam through the platform
• Reverse engineer, decompile, or attempt to extract the source code of the Service

6. Third-party integrations

The Service allows you to connect third-party accounts (e.g., Shopify, Amazon). When you enable these integrations:

• You authorise us to access and synchronise data between the Service and the third-party platform
• You are responsible for complying with the third party's terms of service and policies
• We are not responsible for the availability, accuracy, or performance of third-party services

You may revoke third-party access at any time by disconnecting the integration within your account settings.

7. API and product feeds

If you use our API or product feed features, you agree to:

• Keep your API tokens confidential and not share them with unauthorised parties
• Comply with any published rate limits
• Not use the API to scrape, mirror, or redistribute data without authorisation

We reserve the right to revoke API access if these terms are violated.

8. Pricing and payment

Certain features of the Service may require a paid subscription. If you subscribe to a paid plan:

• Fees are billed in advance on a monthly or annual basis as specified at the time of purchase
• All fees are quoted in South African Rand (ZAR) unless otherwise stated
• We reserve the right to change pricing with 30 days' notice
• Refunds are handled on a case-by-case basis at our discretion

Free tier usage is subject to the limits specified on our pricing page. We reserve the right to modify free tier limits with reasonable notice.

9. Service availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for:

• Scheduled maintenance (with advance notice where possible)
• Emergency repairs or security patches
• Circumstances beyond our reasonable control

We will make reasonable efforts to minimise disruption and communicate any planned downtime.

10. Intellectual property

The Service, including its design, code, features, and documentation, is owned by FTG Drop and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.

You retain all intellectual property rights in Your Data.

11. Limitation of liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service if:

• You breach these Terms
• Your use of the Service poses a security risk
• We are required to do so by law

Upon termination, your right to use the Service ceases immediately. We will retain Your Data for a reasonable period to allow you to export it, after which it will be deleted.

13. Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of South Africa.

14. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
